The terms "us" or "we" or "our" refer to the above-named organizations, as well as their employees, directors, officers, owners, agents, and representatives. The term "you" refers to the user or viewer of our website.

Acceptance of Agreement:

The sacyouth.com web site ("Site") contains postings, messages, advertisements, photos, sounds, images, text, files, video or other materials (collectively, the "Content") that are provided as a free service to users who agree to abide by the following terms and conditions. Your right to use the Site is governed by the terms and conditions contained herein ("Terms") and you should take the time to review these Terms carefully before you use the Site. Further, we reserve the right to change the Terms at any time and for any reason without notice to you. By using the Site you accept and agree to the Terms, including any amendments, updates, or changes. We reserve the right to modify or discontinue, temporarily or permanently, the Site, any Site features, benefits, rules or conditions, all without notice, even though such changes may affect the way you use the Site. Limited License, Permitted Uses:

Sending messages or engaging in disruptive activities online, including excessive use of scripts, sound waves, scrolling, or use of viruses, bots, worms, time bombs, trojan horses or any other destructive element; 6. Attempting or having unauthorized access to non-public areas of the Site. In addition, if you have a password to a non-public area of the Site, you may not disclose to, or share your password, with any third parties and/or use your password for unauthorized purposes; 7. Attempting to decipher, decompile, disassemble or reverse engineer any of the software comprising or in any way making up all or any part of the Site; modifying any meta data, copying or duplicating in any manner any of the Content; framing of or linking to any of the Site, its Content or information available from the Site without the express written consent of agents of the Site; 8. You agree to comply with all applicable laws, statutes, regulations, and ordinances concerning your use of the Site.

Posting Information:

If you post information to the Site, you agree to provide us with accurate, complete information. Your posting must be done using your real name and complete registration information. If you are posting information for an organization, you agree that you are authorized to post this information.

Any listings and materials that you post or transmit to the Site (other than personally identifiable information), will be treated as non-confidential and non-proprietary to you. You understand and agree that any such listings and materials may be used by us or our affiliates, without review or approval by you, for any purpose whatsoever. In addition, you warrant that all so-called “moral rights” in those materials have been waived. We have the right to terminate your access for any reason if we believe in our sole discretion that you have violated the Terms in any manner. You agree not to hold us liable for such termination or attempt to use the Site after termination.

Jurisdiction and Choice of Law and Arbitration:

These Terms shall be governed by, construed and enforced in accordance with the laws of the State of California, outside of its choice of law rules, as they are applied to agreements entered into and to be performed entirely within such State. Any action you or any third party may bring to enforce these Terms, or in connection with any matters related to the Site, shall be settled solely by binding arbitration in accordance with the commercial arbitration rules of Judicial Arbitration and Mediation Services, Inc. (JAMS). Any such controversy or claim shall be arbitrated on an individual basis, and shall not be consolidated in any arbitration with any claim or controversy of any other party. The arbitration shall be conducted in Sacramento, California, and judgment on the arbitration award may be entered into any court having jurisdiction thereof. Either you or us may seek any interim or preliminary relief from a court of competent jurisdiction in Sacramento, California, necessary to protect the rights or property of you and us pending the completion of arbitration. Each party shall bear one-half of the arbitration fees and costs incurred through JAMS. You also agree that regardless of any statute or law to the contrary, any claim or cause of action against us arising out of or related to use of the Site or the Terms must be filed within one (1) year after such claim or cause of action arose or be forever barred.

General:

These Terms constitute the entire agreement between you and us and govern your use of the Site, superseding any prior agreements between you and us. You also may be subject to additional terms and conditions that may apply when you use affiliate services, third-party content or third-party software, or visit another site linked to by this Site. The section titles in these Terms are for convenience only and have no legal or contractual effect.

Severance and Waiver:

Furthermore, if any provision of these Terms is found by a court of competent jurisdiction to be invalid, the parties nevertheless agree that the court should endeavor to give effect to the parties' intentions as reflected in the provision.

Our failure to exercise or enforce any right or provision of these Terms shall not constitute a waiver of such right or provision unless acknowledged and agreed to by us.
